ROLE
– Draft, review, negotiate, and advise on a wide range of commercial agreements
– Ensure that all contracts reflect ROCKWOOL’s policy and are compliant with Indian law, Group standards, and internal policies
– Provide timely and practical legal opinions to internal stakeholders on contractual rights, obligations, and risk
– Liaise with external legal counsel in India on complex matters and manage cost-effective use of external legal resources
– Support the development and implementation of a compliance management framework for ROCKWOOL India
– Work with the Corporate Legal Counsel and Regional Business Assurance function to identify, assess, and mitigate legal and regulatory risks across Indian operations
– Assist in the preparation and delivery of compliance training and awareness programmes for employees across Indian sites
– Assist with corporate secretarial matters for ROCKWOOL India entities
– Support the management of director appointments, resignations, and changes in authorised signatories
– Ensure corporate housekeeping obligations are met and aligned with Group governance standards
– Manage pre-litigation correspondence, internal investigations, and dispute resolution processes
– Coordinate with external advocates and law firms on litigation and arbitration matters
– Prepare briefings for management on dispute status, risk exposure, and recommended strategy
– Coordinate with Group Legal and the Asia data protection function on cross-border data transfers and privacy impact assessments
– Work alongside the Regional Business Assurance function to support identification and management of operational and compliance risks
– Assist in the review and update of internal policies, procedures, and standards of conduct applicable to India
– Provide ad hoc legal advice to business functions including Sales, Procurement, Finance, HR, and Operations on matters arising in the course of Indian operations

REQUIREMENTS
– Enrolment as an Advocate with the Bar Council of India is an advantage but not a requirement
– Minimum 5–8 years of post-qualification experience in corporate/commercial law
– Strong experience in drafting and negotiating commercial contracts across procurement, sales, services, and supply chain
– Sound working knowledge of Indian corporate law, contract law, and key regulatory frameworks
– Proficiency in Hindi, Tamil language proficiency advantageous
– Ability to work independently, manage multiple matters, and meet deadlines in a lean team environment
– Commercially aware with the ability to balance legal risk with business pragmatism

Legal and Compliance Officer – India

Role Summary

The Legal and Compliance Officer India is the primary in-house legal resource for ROCKWOOL India's operations across Mumbai Dahej Cheyyar Chennai and Rajasthan (upcoming). This role is responsible for providing practical commercially minded legal advice on corporate and commercial matters ensuring that ROCKWOOL India operates in full compliance with applicable Indian laws and regulations and supporting the broader ROCKWOOL Asia legal function led by the Corporate Legal Counsel.

The incumbent will work closely with the ROCKWOOL Asia Corporate Legal Counsel local management teams and Group Legal colleagues in Denmark. The role requires a legally qualified professional with strong corporate and commercial contracting experience the ability to work independently and the maturity to manage multiple legal matters simultaneously across diverse business functions.

Key Responsibilities

1. Corporate & Commercial Contracts

Draft review negotiate and advise on a wide range of commercial agreements including but not limited to sales and distribution agreements procurement contracts supply agreements service contracts non-disclosure agreements memorandum of understanding and contractor agreements.
Ensure that all contracts reflect ROCKWOOL's policy and are compliant with Indian law Group standards and internal policies.
Provide timely and practical legal opinions to internal stakeholders on contractual rights obligations and risk.
Liaise with external legal counsel in India on complex matters and manage cost-effective use of external legal resources.

2. Regulatory Compliance & Risk Management

Support the development and implementation of a compliance management framework for ROCKWOOL India in alignment with ROCKWOOL Asia's regional compliance programme.
Work with the Corporate Legal Counsel and Regional Business Assurance function to identify assess and mitigate legal and regulatory risks across Indian operations.
Assist in the preparation and delivery of compliance training and awareness programmes for employees across Indian sites.

3. Corporate Governance & Secretarial Matters

Assist with corporate secretarial matters for ROCKWOOL India entities including board resolutions statutory filings maintenance of statutory registers and coordination with Company Secretary and regulatory authorities (ROC MCA).
Support the management of director appointments resignations and changes in authorised signatories.
Ensure corporate housekeeping obligations are met and aligned with Group governance standards.

4. Dispute Resolution

Manage pre-litigation correspondence internal investigations and dispute resolution processes.
Coordinate with external advocates and law firms on litigation and arbitration matters including industrial disputes civil claims and regulatory proceedings.
Prepare briefings for management on dispute status risk exposure and recommended strategy.

5. Data Protection & Privacy

Coordinate with Group Legal and the Asia data protection function on cross-border data transfers and privacy impact assessments.

6. Business Assurance Support

Work alongside the Regional Business Assurance function to support identification and management of operational and compliance risks.
Assist in the review and update of internal policies procedures and standards of conduct applicable to India.

7. General Legal Support

Provide ad hoc legal advice to business functions including Sales Procurement Finance HR and Operations on matters arising in the course of Indian operations.

Required Skills & Experience

Essential

Bachelor of Laws (LLB) or integrated law degree (BA LLB / BBA LLB) from an accredited Indian law school. Enrolment as an Advocate with the Bar Council of India is an advantage but not a requirement.
Minimum 5–8 years of post-qualification experience in corporate/commercial law either in-house or with a reputable law firm.
Strong experience in drafting and negotiating commercial contracts across procurement sales services and supply chain.
Sound working knowledge of Indian corporate law contract law and key regulatory frameworks.
Fluency in English (written and spoken) Proficiency in Hindi Tamil language proficiency advantageous given ROCKWOOL's operations in Cheyyar and Chennai.
Ability to work independently manage multiple matters and meet deadlines in a lean team environment.
Commercially aware with the ability to balance legal risk with business pragmatism.
